Vendor Partner Agreement

This Vendor Partner Agreement ("Agreement") is entered into between AI Shutters, Inc. ("AI Shutters," "we," or "us") and you, the shutter installation professional or company ("Vendor," "you," or "your") registering to use our platform.

1. Partnership Overview

AI Shutters provides a platform that connects homeowners seeking shutter installation services with qualified professionals. As a Vendor Partner, you will receive leads from homeowners who have visualized shutters in their homes using our AI technology.

2. Vendor Eligibility

To become a Vendor Partner, you must:

  • Be a legitimate shutter installation business or professional
  • Hold all required licenses and permits for your service area
  • Maintain appropriate business insurance
  • Provide accurate business information
  • Have a valid business address within your stated service area

3. Lead Generation and Distribution

AI Shutters will provide leads based on the following criteria:

  • Geographic proximity to the homeowner (within your service radius)
  • Your subscription tier and lead allocation
  • Your response rate and customer feedback
  • Availability and capacity preferences you set

Leads are distributed on a first-come, first-served basis within eligible vendor pools. We do not guarantee a minimum number of leads.

4. Vendor Obligations

As a Vendor Partner, you agree to:

  • Respond Promptly: Contact leads within 24 hours of receiving them
  • Professional Conduct: Treat all customers with respect and professionalism
  • Accurate Pricing: Provide honest and transparent pricing in your quotes
  • Quality Work: Deliver high-quality installation services that meet industry standards
  • Licensing: Maintain all required licenses and insurance throughout the partnership
  • Feedback: Update lead status in the platform and respond to customer feedback

5. Fees and Payment

Subscription Plans

AI Shutters offers various subscription tiers with different features and lead allocations. Subscription fees are billed monthly or annually as selected during registration.

Lead Fees

Depending on your plan, you may be charged per-lead fees for leads that result in scheduled appointments or completed installations. Fee structures are outlined in your subscription agreement.

Payment Terms

  • Payments are due within 30 days of invoice
  • Late payments may result in account suspension
  • All fees are non-refundable unless otherwise specified

6. Use of AI Shutters Platform

As a Vendor Partner, you have access to:

  • Lead management dashboard
  • AI visualization tools for customer presentations
  • Quote generation features
  • Customer communication tools
  • Analytics and reporting

You agree to use these tools only for legitimate business purposes and in accordance with our Terms of Service.

7. Customer Information

Customer information provided through leads is confidential and must be:

  • Used only for the purpose of providing shutter services
  • Protected in accordance with applicable privacy laws
  • Not shared with third parties without customer consent
  • Not used for unsolicited marketing beyond the initial inquiry

8. Representations and Warranties

You represent and warrant that:

  • All information provided is accurate and current
  • You have authority to enter into this Agreement
  • You will comply with all applicable laws and regulations
  • You will maintain adequate insurance coverage
  • Your work will meet industry quality standards

9. Indemnification

You agree to indemnify and hold harmless AI Shutters from any claims, damages, or expenses arising from:

  • Your installation services or business practices
  • Breach of this Agreement
  • Violation of any third-party rights
  • Your negligence or misconduct

10. Limitation of Liability

AI Shutters is a lead generation platform and is not responsible for:

  • The quality of leads or customer qualification
  • Customer decisions to proceed or not proceed with installation
  • Disputes between vendors and customers
  • Business losses or consequential damages

11. Term and Termination

Term

This Agreement begins upon your registration as a Vendor Partner and continues until terminated by either party.

Termination

Either party may terminate this Agreement:

  • With 30 days written notice for any reason
  • Immediately for material breach of this Agreement
  • Immediately for fraudulent or illegal activity

Effect of Termination

Upon termination:

  • Your access to the platform will be revoked
  • Outstanding fees remain due and payable
  • Customer data must be handled per our data retention policies
  • You must honor any commitments made to customers prior to termination

12. Dispute Resolution

Any disputes arising from this Agreement will be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation if negotiation is unsuccessful
  3. Binding arbitration in accordance with AAA rules

13. Modifications

AI Shutters may modify this Agreement at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the platform after changes constitutes acceptance.

14. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.

15. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the subject matter herein.
